a. Company subscription packages. Company subscription packages for the Services (“Package” or “Packages”) may be made available to users for purchase or free of charge, wherein the Company can access one or more user seats for the Services. Packages, for the purpose of Cutting Edge Online Training, are the bundling of one, some, or all Services available on the Site and may be provided to the Company and its users at a per Package cost or free of charge. In accessing such Packages, the Company shall be responsible for ensuring that all its designated users under its Package shall abide by and act in compliance with these Terms, and the Company shall be liable along with the individual designated user in the event any of its designated user’s breach any of the Terms provided herein. Once a Package is made available to the Company by the Site, the Company can provide a list of designated users for their user seats and the required account information for each user to Cutting Edge Online Training and Cutting Edge Online Training will set up user accounts for each designated user under the Package. Should the Company terminate its Package, terminate its membership with [the Excell and/or Nissco Buying Groups], or breach these Terms, Cutting Edge Online Training shall have the right to terminate all accounts for the Company and any designated users.
b. Registration and Security. You agree, represent, warrant, and guarantee that all Personal Information provided by you, either through our Site or when speaking to a Cutting Edge Online Training representative over the phone, is true, accurate, complete, up-to-date, and solely yours. You may not impersonate, imitate, or pretend to be somebody else when providing information. When you create an account and subsequently log in, you will be asked to choose a password. You are responsible for safeguarding and maintaining the confidentiality of your password, and you agree not to disclose your password to any third party. Additionally, you must remain a member in good standing of either the Excell or Nissco Buying Groups in order to maintain access to the Site and the Services provided therein. Should you leave the Excell or Nissco Buying Groups, your Package subscription to the Site and the Services therein shall be automatically cancelled. Additionally, Packages will terminate at the end of the then current Package subscription term unless the Package subscription is renewed prior to the end of the Package subscription term. Should your Package subscription or account be cancelled or terminated for any reason prior to the end of your then current Package subscription term, you shall forfeit all prepaid fees associated with your Package subscription. At cancellation, your account will be inactivated, and you will no longer be able to log into your account. Cutting Edge Online Training shall not be obligated to retain any data or information associated with your account after termination or cancellation of your account or Package subscription. Cutting Edge Online Training may terminate your password, account, or use of the Services at any time if you breach or otherwise fail to comply with these Terms or Cutting Edge Online Training’s then-current payment policies, if any and as applicable. In addition, Cutting Edge Online Training may terminate an account at any time in its sole discretion. If Services are suspended, whether for non-payment or any other reason, in order to reinstate service, you must re-subscribe to the Services, including the payment of any fees required to be paid by a new subscriber. If your account/subscription is cancelled or terminated, you may have the opportunity to purchase content on an a la carte basis from Cutting Edge Online Training’s non-member site located at http://cuttingedgeonlinetraining.learnupon.com.
